Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the Row18 platform, operated by JMH Entertainment Inc. (“Row18,” “we,” “us”). Row18 is a ticket-consignment and cross-listing service: you consign ticket inventory to us, and we list and sell it across third-party marketplaces on your behalf in exchange for a commission. By creating an account or using the platform, you agree to these Terms.

1. Eligibility and accounts

You must be at least 18 and able to form a binding contract. You are responsible for the accuracy of your account information, for all activity under your account, and for keeping your credentials secure. You must connect a valid payout account (via our payments partner, Stripe) before you can receive funds.

2. The service; our role as your agent

When you consign tickets, you appoint Row18 as your limited agent to list, price, market, sell, and arrange fulfillment of those tickets across one or more third-party marketplaces and point-of-sale systems. We do not take ownership of your tickets; title remains with you until a sale completes. Your consignment is also governed by the Row18 Consignment Agreement, which is incorporated by reference.

3. Your responsibilities

  • You have the lawful right to sell every ticket you list, and the tickets are valid, authentic, and transferable.
  • Your listings are accurate as to event, date, section, row, quantity, and any restrictions.
  • You will deliver sold tickets promptly and in the form required by the marketplace.
  • You will not list the same inventory on channels outside Row18 in a way that creates a risk of double-selling.
  • You will comply with all applicable laws and the rules of the marketplaces on which your tickets are listed.

4. Listing, pricing, and distribution

You authorize Row18 to distribute your listings across connected marketplaces and to adjust prices using our automated pricing tools within the parameters you set (including any floor price). You can delist inventory at any time, subject to honoring sales already in progress. We do not guarantee that any ticket will sell or sell at a particular price.

5. Fees and commission

Row18 charges a flat commission of 5% of the gross sale price of each ticket sold through the platform, unless a different rate is agreed in writing. Third-party marketplaces may charge their own fees, which are deducted from the sale proceeds. Your net payout is the gross sale price, less the Row18 commission and any applicable marketplace fees, taxes, or adjustments.

6. Payments and payouts

Payments and payouts are processed by Stripe and are subject to the Stripe Connected Account Agreement. You must complete Stripe onboarding to receive funds. Payouts are initiated after a sale is confirmed and proceeds are settled; timing may depend on the marketplace, settlement, and risk review. We may place holds or reserves on funds where reasonably necessary to cover chargebacks, cancellations, or suspected fraud.

7. Cancellations, chargebacks, and non-delivery

You are responsible for losses, penalties, replacement costs, and fees arising from invalid tickets, late or failed delivery, or cancellations caused by you. We may deduct such amounts from your balance or future payouts. Repeated fulfillment failures may result in suspension.

8. Prohibited conduct

  • Listing tickets you do not own or have no right to sell, or speculative listings.
  • Selling counterfeit, duplicate, invalid, or restricted tickets.
  • Fraud, money laundering, or evading marketplace or Row18 controls.
  • Interfering with, scraping, or attempting to gain unauthorized access to the platform.

9. Intellectual property

The platform, including its software, design, and trademarks, is owned by Row18 and its licensors. We grant you a limited, non-exclusive, revocable license to use the platform for its intended purpose. You retain your own data and grant us the rights needed to operate the service on your behalf.

10. Disclaimers

The platform is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation, or that any listing will result in a sale.

11. Limitation of liability

To the maximum extent permitted by law, Row18 will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues. Our aggregate liability arising out of or relating to the platform will not exceed the total commissions you paid to Row18 in the three months preceding the event giving rise to the claim.

12. Indemnification

You will indemnify and hold harmless Row18 and its officers, employees, and agents from any claims, losses, and expenses (including reasonable attorneys’ fees) arising out of your tickets, your listings, your breach of these Terms, or your violation of any law or third-party right.

13. Termination

You may stop using the platform at any time. We may suspend or terminate your access for breach of these Terms, suspected fraud, or as required by law. Provisions that by their nature should survive termination will survive.

14. Governing law and disputes

These Terms are governed by the laws of the State of [GOVERNING STATE], without regard to its conflict-of-laws rules. 15. Changes and contact
